Jersey Shore Short-Term & Seasonal Rental Co-Hosting Agreement
These Terms of Service set out how HostPro co-hosts your Jersey Shore rental property, what you can expect from us, and what we ask of you as the Owner.
1. Parties
This Agreement is entered into as of the Effective Date, by and between the Owner (legal name, mailing address, email, and phone as provided at onboarding) and the Co-Host:

Owner and HostPro may each be referred to as a “Party” and together as the “Parties.”
2. Properties Covered
This Agreement applies to any residential rental property the Owner enrolls with HostPro for short-term and seasonal rental co-hosting (the “Property”). A property becomes enrolled when HostPro creates or assumes management of its listing(s) with the Owner’s authorization; enrollment is handled through HostPro’s normal onboarding and listing setup, and adding or removing a property does not require a new Agreement. Each Property includes all furnishings, fixtures, appliances, amenities, and appurtenances that come with a fully furnished rental property.
3. Appointment & Grant of Authority
Owner appoints HostPro as the exclusive co-host for the Property for short-term and seasonal (including mid-term) rental purposes. HostPro is authorized to list, market, price, and manage the Property across platforms and channels including, but not limited to:
- Airbnb
- VRBO
- Booking.com
- Expedia
- Google Vacation Homes
- HostPro's direct booking website
- HostPro's previous-guest database
- Local brokerage partnerships
- ShoreSummerRentals.com and similar listing services (where used, any third-party listing fees are an Owner expense and will be disclosed in advance)
- Social media marketing across HostPro's channels and Jersey Shore town-specific groups and community pages (e.g., Wildwood, Cape May, and surrounding shore-town rental/community groups), including monitoring and handling guest inquiries and booking leads that come through those posts and direct messages
Owner reserves the right to independently host rentals of 30 days or longer on other platforms, provided such bookings (a) do not conflict with any HostPro-managed reservation, and (b) are disclosed to HostPro in advance.
HostPro is granted limited agency authority for operational purposes only, including pricing, accepting or declining bookings, guest communications, cleaning and turnover coordination, and enforcement of house rules. HostPro is not authorized to, and does not, hire, dispatch, or pay maintenance or repair vendors on the Owner’s behalf (see Sections 5 and 6).
4. Term & Cancellation
- No fixed term. This Agreement has no fixed term. It begins on the Effective Date and continues until cancelled.
- Cancellation. Either Party may cancel this Agreement, or Owner may remove any individual Property, at any time upon written notice. Notice may be electronic; email is valid; DocuSign is accepted; no wet signature required.
- Cancellation Fee (Procuring Cause). Any booking established by HostPro before the cancellation (or Property removal) takes effect but occurring afterward remains subject to a 7.5% fee on the Base Booking Revenue of each such booking, payable before the cancellation takes effect. This applies whether Owner or HostPro initiates cancellation.
- Final Accounting. On cancellation, HostPro will provide a final accounting for any co-hosting fees and amounts due under this Agreement. Because HostPro does not hold rental income, there are no rents for HostPro to disburse.
5. Scope of Co-Hosting Services
HostPro’s core commitment is to drive bookings and revenue to the Owner’s listings; keep the listings in good standing across all platforms; provide rigorous quality control through repeated inspections, with documented damage and wear-and-tear reporting; deliver fast, effective guest communication; coordinate cleaning scheduling and communication with the Owner’s preferred cleaning vendor; and help remediate guest issues to protect reviews, ratings, and repeat demand.
A. Marketing & Booking
- Listing creation, SEO optimization, and multi-platform distribution
- Social media promotion across HostPro's channels and Jersey Shore town-specific/community groups, including monitoring and responding to the inquiries and booking leads generated there
- Professional photography (required): Owner is responsible for sourcing, hiring, and paying a professional photographer. HostPro will advise on staging and preparation and provide a recommended shot list so the photos drive the best booking performance. Owner agrees to arrange photography at onboarding and whenever material changes to the Property warrant new photos.
- Dynamic, market-driven pricing and calendar management tuned for Jersey Shore weekly and seasonal demand
- Accepting or declining bookings
- Setting and enforcing minimum-stay requirements (see Section 5E)
B. Guest Services
- Fast, effective guest communication before, during, and after each stay
- Receiving and responding to guest inquiries across all channels, including messages and booking leads from social media and shore-town community groups
- Check-in / check-out coordination
- Guest screening (best-effort): HostPro will make best efforts to screen guests consistent with the house rules — including minimum age requirements, guest review history, and asking guests about the nature and purpose of their stay. This is a good-faith effort only; HostPro does not guarantee guest conduct and assumes no liability for the results of screening or for the acts of any guest, and all screening remains subject to platform rules and applicable anti-discrimination law.
- Enforcement of house rules, including guest removal when necessary
C. Operations & Quality Control
- Cleaning turnover scheduling and communication with the Owner's preferred cleaning vendor. Owner hires, sets the schedule with, and pays the cleaner directly; HostPro communicates turnover timing and quality standards but does not employ, supervise as its own, or pay the cleaning crew.
- Repeated quality-control inspections with photo/video documentation of cleanliness, deficiencies, and any damage or wear-and-tear items, reported to Owner
- Linens, consumables, and restocking remain the Owner's responsibility; HostPro will flag restocking needs identified through quality-control inspections or communication with the cleaner
- Trash / turnover waste service (optional): HostPro can recommend and help schedule a recurring third-party trash and turnover waste service, which the Owner arranges and pays for directly. Reliable trash handling between guests is strongly recommended to protect reviews and avoid municipal violations.
D. Financial Administration
- HostPro does not collect or hold rental income. Guest rental payments are received directly by Owner through the booking platforms and Owner's own payout accounts.
- Bi-weekly billing. HostPro bills Owner on a bi-weekly basis (on or about the 1st and 15th of each month) for co-hosting fees and any out-of-scope service time. Owner pays for everything else directly — including cleaning, maintenance, inventory, and consumables. HostPro does not front, pass through, or bill these costs.
- Invoices are payable via Venmo, ACH, or Zelle.
- Owner's reservation financials are available directly on the booking platforms; HostPro does not provide separate financial records, reporting, or statements.
E. Weekly Prime Season & Flex Booking Model
The Property is marketed primarily on a weekly basis during the prime summer season — approximately the ten (10) peak weeks of the summer — to protect rate and turnover consistency. During this prime period the default is a seven (7) night minimum stay.
To maximize occupancy, HostPro applies a flex booking model: if a prime week remains unbooked within forty-five (45) days of the arrival date, HostPro may open the calendar to shorter stays to capture last-minute demand, stepping the minimum down as low as a two (2) night minimum, with HostPro setting the exact minimum by arrival day and current demand. Owner will not override minimum-stay settings without coordinating with HostPro.
Last-Minute Discounting. To reduce vacant dates, HostPro applies last-minute discount rules to unbooked nights approaching arrival. Owner may provide a preferred discount rule set; if Owner does not specify one, HostPro may apply graduated last-minute discounts that increase as the arrival date nears, always staying at or above any pricing floor the Parties have agreed. Owner may adjust or opt out of last-minute discounting in writing at any time.
6. Exclusions & Out-of-Scope Services
A. What Co-Hosting Does Not Include
- Guarantee occupancy, income, or profitability
- Guarantee guest conduct, or the results of any guest screening
- Act as Owner's insurer, attorney, accountant, or tax advisor
- Hire, negotiate rates with, schedule the initial engagement of, or pay cleaning or maintenance vendors
- Purchase, supply, or pay for linens, consumables, or restocking items
- Arrange, dispatch, coordinate, or supervise maintenance or repair work of any kind
- Perform capital improvements or renovations
- Supervise construction
- Assume ownership-level regulatory or legal risk
B. Out-of-Scope Service Fee ($30/hour)
Some Owner-requested or situation-specific tasks fall outside normal co-hosting. For these, HostPro charges $30.00 per hour, with a one (1) hour minimum per occurrence, billed thereafter in 30-minute increments. Out-of-scope tasks include, but are not limited to:
- Waiting on-site for deliveries (furniture, appliances, packages)
- Meeting or providing access to technicians, contractors, inspectors, or vendors outside a normally scheduled service
- Special Owner requests that are not part of routine guest, cleaning, or turnover operations
- Personal-use coordination for the Owner (e.g., preparing the Property for the Owner's own stay)
- Sourcing, shopping for, or overseeing installation of Owner-requested items or upgrades
This fee covers HostPro’s staff time only. Any third-party or material costs (parts, delivery, contractor charges) are separate Owner expenses paid by Owner directly. Where practical, HostPro will estimate the time in advance; when a task is time-sensitive, HostPro may proceed and report the time afterward.
7. Fees & Compensation
A. Co-Hosting Fee
- Owner pays HostPro fifteen percent (15%) of the Owner's Base Booking Revenue per booking.
- The co-hosting fee is earned when guest check-in occurs.
- “Base Booking Revenue” means the Owner's agreed base rental rate plus mandatory guest fees, excluding taxes and channel fees.
B. Pricing Plan & Channel Markups
- HostPro manages pricing dynamically to match Jersey Shore seasonal and weekly demand; the Owner's agreed base rate is the reference point for Owner economics.
- Channel markups. Each booking platform, listing service, and brokerage partner charges different fees and commissions. To keep the Owner's base rate whole, HostPro sets the guest-facing price on each channel with a channel-specific markup that grosses up the price to offset that channel's fees.
- Base rate is the reference. Channel markups correspond to platform/brokerage fees and are not part of Base Booking Revenue; HostPro's co-hosting fee is calculated on the base rate only.
- Brokerage channel. Local brokerage partnerships give the Property additional marketing reach and let guests book without paying Airbnb or VRBO guest-service fees. On these channels the guest pays a brokerage-set rate that includes HostPro's markup. This does not change the Owner's agreed base rate.
- Owner authorizes HostPro to apply and adjust channel markups as needed to keep the Owner's base rate fee-neutral across all channels.
C. Out-of-Scope Fees
Billed at $30.00/hour (one-hour minimum, then 30-minute increments) as described in Section 6B.
D. Payment Schedule
- HostPro does not collect rents or net fees from booking revenue. HostPro bills Owner bi-weekly (on or about the 1st and 15th of each month) for co-hosting fees and any out-of-scope service time.
- Invoices are payable via Venmo, ACH, or Zelle.
- All other costs — cleaning, maintenance, inventory, consumables, and any additional expenses — are paid by Owner directly and are not billed or passed through by HostPro.
E. Late Fees
Payments not received within three (3) business days of the due date incur a $50.00 flat late fee, agreed as liquidated damages and not a penalty.
8. Owner Expenses
Because HostPro does not collect rental income, Owner is invoiced bi-weekly for co-hosting fees and any out-of-scope service time, payable via Venmo, ACH, or Zelle. Owner pays for all other costs directly. HostPro does not front, pass through, or bill for property expenses of any kind. Owner-paid items include (non-exhaustive):
- Professional listing photography (required — Owner sources and pays the photographer)
- Cleaning, turnovers, linens, consumables, and restocking — Owner hires and pays the cleaner directly
- Repairs, replacements, and maintenance — Owner hires and pays vendors directly
- Inventory and supply items for the Property
- Third-party trash / turnover waste service, where used
- Third-party listing service fees (e.g., ShoreSummerRentals.com)
9. Taxes, Licensing & Regulatory Compliance
Owner is solely responsible for:
- Zoning and the legality of vacation rental use at the Property
- Municipal registrations, licenses, permits, and any local rental/mercantile requirements (including applicable Jersey Shore municipal STR rules)
- HOA or condo-association compliance
- Property taxes, occupancy/hotel taxes where not collected by a platform, and income taxes
HostPro may assist administratively but assumes no liability for compliance failures.
10. Bookings & Non-Circumvention
All bookings during the term are managed bookings. Owner shall not:
- Circumvent HostPro or take bookings “off-platform” to avoid the co-hosting fee
- Redirect or solicit HostPro guests
- Modify pricing or availability without coordinating with HostPro
11. Confidentiality & Non-Solicitation
Owner shall not solicit HostPro’s vendors, staff, systems, or guest data. This obligation survives termination for 24 months.
12. Asset Management vs. Co-Hosting
HostPro is a co-host, not an asset manager. Owner retains responsibility for long-term investment strategy, capital improvements, asset valuation and depreciation, and ownership-level legal and financial decisions.
13. Co-Host Status, Insurance & Risk
HostPro operates as a co-hosting service, not a traditional property manager, and does not assume the risks or liabilities of a property manager or landlord. HostPro does not accept, seek, or assume liability for guest injuries, guest conduct, or other guest-related claims.
Guest and rental liability coverage is provided through the booking platforms’ host protection programs — including Airbnb’s AirCover for Hosts and VRBO’s host/damage protection — subject to each platform’s terms, conditions, and limits. HostPro will assist the Owner by filing and managing platform claims when needed, but HostPro does not itself insure the Property, the Owner, or any guest.
HostPro strongly recommends that Owner carry a short-term-rental-specific insurance policy appropriate for the Property, in addition to any platform protections. Platform host-protection programs are not a substitute for the Owner’s own insurance, are governed solely by the applicable platform, and are not guaranteed by HostPro.
14. Limitation of Liability & Indemnification
HostPro is not liable for guest conduct, theft, injuries, platform outages, acts of nature, or the acts of third-party vendors, including any cleaning or maintenance vendor hired, scheduled, or paid by Owner. Owner agrees to defend, indemnify, and hold HostPro harmless from all claims arising from ownership, property condition, Owner-retained vendors, or regulatory issues. Except for gross negligence or willful misconduct, HostPro’s total liability under this Agreement shall not exceed the co-hosting fees paid by Owner to HostPro during the three (3) months preceding the event giving rise to the claim.
15. Governing Law & Dispute Resolution
- Governing Law: State of New Jersey.
- Dispute Resolution: The Parties will attempt good-faith mediation before initiating litigation.
- Venue: A state or federal court located in New Jersey, or another venue the Parties agree to in writing.
16. Entire Agreement & Electronic Execution
This Agreement constitutes the entire agreement between the Parties and supersedes prior discussions. Amendments must be in writing and signed by both Parties. Electronic signatures and counterparts are fully enforceable. If any provision is held unenforceable, the remaining provisions stay in effect.
17. Signatures
